Terms of Service

Nuts Labs LTD (“Nuts,” “Company,” “we,” “us,” or “our”) provides consumer software services that help users discover digital-asset opportunities and initiate transactions via supported networks (the “Services”). The Services are accessed through our mobile applications and website(s) (collectively, the “Platform”).
These Terms of Use (these “Terms”) set forth the terms and conditions that govern your access to and use of the Platform and Services and form a legally binding agreement between us and you and/or the entity you represent (“you,” “your,” or “User”).
ACCEPTANCE OF TERMS & PRIVACY POLICY
By accessing or using the Platform or Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all terms incorporated herein by reference.
You represent and warrant that you: (a) are at least 18 years old (or the age of majority in your jurisdiction), and have capacity to enter a binding contract; (b) use the Services only for yourself or, if for an entity, you are authorized to bind that entity; and (c) are not a Restricted Person and are not accessing the Services from a Restricted Jurisdiction (defined below).
The Services are not directed to children under 18, and we do not knowingly collect information from minors.
Your agreement to these Terms also constitutes your consent to the collection and use of information as described in our Privacy Policy (incorporated by reference).
ARBITRATION NOTICE
PLEASE NOTE THAT THESE TERMS REQUIRE INDIVIDUAL, CONFIDENTIAL ARBITRATION FOR DISPUTE RESOLUTION (SEE “GOVERNING LAW; MANDATORY ARBITRATION; WAIVERS”), INSTEAD OF JURY TRIALS OR CLASS ACTIONS, AND LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.
RESTRICTED JURISDICTIONS & ELIGIBILITY
Restricted Jurisdictions and Persons. The Services were not developed for and are not offered to individuals or entities that are (i) located in, resident, citizen, incorporated in, or otherwise organized under any country/region subject to comprehensive sanctions, trade embargoes, or similar restrictions under the laws of the British Virgin Islands (BVI), United Kingdom, European Union, United States, United Nations, or other applicable authorities; (ii) listed on, or owned/controlled by someone listed on, any applicable sanctions list; or (iii) located in a jurisdiction where the use of digital assets is prohibited or requires a license you do not hold (including, without limitation, Mainland China).
Non-exhaustive examples of Restricted Jurisdictions/regions as of the Effective Date include: Cuba; Iran; North Korea; Syria; Sudan; South Sudan; the Crimea, Donetsk, Luhansk, and Sevastopol regions; Belarus; Russia; Myanmar (Burma); Yemen; Zimbabwe; Democratic Republic of the Congo; Libya; Iraq; Mali; Somalia; Venezuela; and any other country/region subject to comprehensive sanctions or where transacting in digital assets is illegal.
You must not use VPNs, proxies, or other means to circumvent geoblocking or these restrictions. By using the Services, you represent and warrant that you are not a Restricted Person and will not access the Services from a Restricted Jurisdiction. We may block, suspend, or terminate access if we reasonably suspect a breach of this section.
General Eligibility. Access is prohibited where otherwise restricted by applicable law. You are solely responsible for ensuring your access and use comply with all laws and regulations that apply to you.
KYC/AML, COMPLIANCE
At our discretion, or where required by law, we may request information to verify your identity, source of funds, and intended use (e.g., government ID, proof of address). We may suspend or deny access pending completion of such reviews and may share information with competent authorities where legally required.
NATURE OF THE SERVICES; NO CUSTODY; NO BROKERAGE
The Services are software that allow you to: (i) discover digital-asset information and opportunities; and (ii) initiate transactions that are executed on supported networks/protocols you choose to interact with.
We are not a broker, dealer, exchange, custodian, or investment adviser.
Transactions occur on public networks or external infrastructure you choose to interact with through the software. Asset availability, routes, or integrations may change without notice.
No Order Routing or Matching. Nuts does not operate an exchange, order book, matching engine, clearing agency, or settlement system.
The Services do not process fiat currency payments. Any purchases or transactions occur solely in supported digital assets through third-party providers or networks.
ACCOUNT REGISTRATION & SECURITY
Where an account is required, you agree to provide accurate information, safeguard your credentials, and accept responsibility for all activities under your account. We may suspend or terminate accounts for suspected breach, fraud, sanctions exposure, or non-compliance.
RESPONSIBILITY FOR DIGITAL ASSETS, WALLETS, AND KEYS
You are solely responsible for the security of your device(s), wallet(s), seed phrases, recovery materials, passcodes, and private keys. Loss or compromise may result in irreversible loss of assets.
We do not store your seed phrases in plain text and cannot recover them for you.
If you choose any device-based, cloud-based, or secure-enclave key mechanism, you acknowledge such choice is at your discretion and your risk.
You are responsible for implementing backups and recovery procedures.
CONTENT OWNERSHIP; LICENSE
USER CONTENT. “User Content” means content you upload, submit, or make available via the Platform (e.g., text, images, comments).
The Platform, Services, and all content therein (excluding User Content) are owned by Nuts or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Services. All rights not expressly granted are reserved.
FEEDBACK
If you provide suggestions, ideas, or feedback (“Feedback”), you grant Nuts a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and exploit the Feedback without restriction or obligation.
REFERRALS, REWARDS & PROMOTIONS
We may from time to time offer referral, reward, or promotional programs. Program details (including eligibility, payout methods, timing, and rates) may change, be paused, or be discontinued at our discretion, with or without notice. We may withhold, reverse, or deny benefits in cases of suspected abuse, fraud, manipulation, or policy violations. Participation does not create any partnership, agency, or employment relationship. Offers are void where prohibited and subject to change without notice.
FEES
We may charge a platform fee on eligible transactions initiated through the Services. Networks/protocols and third-party integrations may charge separate fees (e.g., gas, liquidity, routing). Any displayed estimates are indicative and may differ from settled amounts. Fees and pricing are subject to change at any time.
THIRD-PARTY SERVICES & TERMS
When using the Platform, you may access functionality, data, or infrastructure operated by independent third parties (e.g., public networks, protocols, or external resources). We do not control and do not endorse such third-party materials and are not responsible for their security, accuracy, availability, or fitness for purpose. Your use of external services is at your own risk and may be subject to separate terms and fees that you choose to accept outside the Platform. Any prices, quotes, or analytics displayed are informational and may differ from execution or settlement amounts.
ACCEPTABLE USE & ENFORCEMENT RIGHTS
You agree not to: (i) violate any law, regulation, sanctions program, or licensing requirement; (ii) engage in market manipulation or abuse (including wash trading, spoofing, layering, front-running, pump-and-dump); (iii) circumvent geoblocking or access controls; (iv) introduce malicious code or interfere with the Platform; (v) infringe IP, privacy, or other rights; (vi) launder money, finance terrorism, commit fraud, or facilitate other illicit activity; or (vii) reverse engineer, decompile, or create derivative works except where permitted by law. You may not use the Services for gambling, unlicensed securities offerings, or any unlawful financial activity. We may monitor and may remove, restrict, or disable access where we reasonably believe a breach occurred.
NO PROFESSIONAL ADVICE; NO FIDUCIARY DUTIES
Nothing on the Platform or in the Services constitutes investment, financial, legal, tax, or other professional advice. Nuts does not advise on the merits of any asset or transaction and does not act as your fiduciary. You are solely responsible for your decisions and should obtain independent advice as needed.
Digital assets are volatile and carry risk of loss. We do not guarantee profits or performance of any digital asset, trader, or strategy.
ASSUMPTION OF RISK
Digital assets and networks are experimental and volatile. Transactions may be delayed, reordered, fail, or become irreversible due to network conditions, forks, bugs, or attacks. You accept all risks arising from your use of the Services and interactions with networks/protocols.
TAXES
You are solely responsible for determining and paying any taxes arising from your digital-asset activities, including reporting obligations.
CHANGES TO TERMS OR SERVICES
We may modify these Terms at any time by posting an updated version with a revised Effective Date. Your continued use after changes constitutes acceptance. We may modify, suspend, or discontinue any feature, network access, asset availability, or the Services at any time, without notice.
WARRANTY DISCLAIMERS
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, NUTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE PLATFORM, SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF USD 100 OR THE FEES PAID BY YOU TO NUTS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain limitations; where prohibited, the limitations apply to the maximum extent permitted.
INDEMNITY
You agree to indemnify, defend, and hold harmless Nuts and its affiliates, officers, directors, employees, and agents from and against all claims, disputes, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (i) your access to or use of the Platform or Services; (ii) your breach of these Terms; (iii) your violation of law or third-party rights.
NOT REGISTERED WITH ANY REGULATOR
Nuts is not registered with any financial services regulator as a broker, dealer, exchange, alternative trading system, or custodian. Nuts provides software services and does not custody your assets or private keys, match or settle trades, or solicit trades on your behalf.
EXPORT CONTROLS & SANCTIONS
You may not use, export, re-export, or transfer the Services except as authorized by applicable export control and sanctions laws. You agree to comply with all such laws and not to use the Services for any prohibited end use.
FORCE MAJEURE
We are not liable for delays or failures to perform due to events beyond our reasonable control, including natural disasters, labor disputes, network outages, denial-of-service attacks, war, terrorism, or governmental actions.
GOVERNING LAW; MANDATORY ARBITRATION; WAIVERS
Governing Law. These Terms and any non-contractual obligations are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws rules.
Mandatory Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by confidential, binding arbitration seated in the British Virgin Islands (or conducted by video conference), in English, by a single arbitrator under rules selected by the Company. The award may be entered and enforced in any court of competent jurisdiction.
Injunctive Relief. Either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect its rights pending arbitration.
Class Action & Jury Trial Waiver. YOU AND NUTS AGREE THAT CLAIMS WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. YOU AND NUTS WAIVE ANY RIGHT TO A JURY TRIAL.
TERMINATION
We may suspend or terminate access to the Platform or Services at any time, with or without notice, for any reason, including suspected policy breaches, sanctions exposure, legal/regulatory obligations, fraud risk, or technical/security concerns. Upon termination, your right to use the Services ceases immediately.
LINKS & EXTERNAL RESOURCES
Links or references provided through the Platform are for convenience only. We do not control and are not responsible for external content, security, or availability. Your use of external resources is at your own risk.
NOTICES; CONTACT
Unless otherwise specified, notices to us must be sent to legal@nuts.trading. We may provide notices to you via the Platform, email, or other reasonable methods. You are responsible for keeping your contact details up to date.
MISCELLANEOUS
Entire Agreement. These Terms (including the Privacy Policy) constitute the entire agreement between you and Nuts regarding the Services.
Severability. If any provision is held invalid, the remainder remains in effect.
No Waiver. Failure to enforce a provision is not a waiver.
Assignment. You may not assign these Terms without our prior written consent; we may assign in connection with a reorganisation, merger, acquisition, or sale of assets.
Survival. The following survive termination: No Professional Advice; Assumption of Risk; Fees; Third-Party Services & Terms; Warranty Disclaimers; Limitation of Liability; Indemnity; Export Controls & Sanctions; Governing Law; Mandatory Arbitration; Class Action & Jury Trial Waiver; and this Survival clause.
